It should be noted that the plaintiff in this case has filed a complaint against our client alleging breach of fiduciary duty. With respect to this claim, it is our position that the complaint should be dismissed.

Opposing counsel apparently failed to research the applicable statute of limitations. The applicable statute of limitations for breach of fiduciary duty claims in this jurisdiction is three years from the date of discovery. The alleged breach was made known to the plaintiff on or about January 15, 2021, when the annual audit report was delivered and received by the plaintiff. This complaint was not filed until March 22, 2024, which is more than three years after the date of discovery.

Furthermore, even if the statute of limitations issue is put aside, the complaint is deficient on its merits. The complaint merely asserts in a conclusory fashion that our client had a fiduciary duty and breached it. However, as a matter of law, an independent contractor does not owe fiduciary duties to the hiring party absent a specific contractual provision creating such duties. The complaint does not allege the existence of any such provision.

It is abundantly clear that the complaint fails to state a claim for which relief can be granted. For the foregoing reasons, this Court should grant the motion to dismiss.
