FACT PATTERN: Dr. Sarah Chen signed a two-year non-compete agreement with Valley Medical Group when she joined as a cardiologist. The agreement prohibits her from practicing cardiology within 15 miles of any Valley Medical office for two years after leaving. Valley Medical has 12 offices spread across three counties. Dr. Chen resigned and accepted a position at City Heart Specialists, located 8 miles from one Valley Medical office but 20 miles from the nearest other office.

RULE: Under state law, a non-compete agreement in the medical profession is enforceable only if: (1) the geographic restriction is reasonable in relation to the employer's legitimate business interests, (2) the restriction does not impose an undue hardship on the employee, and (3) the restriction does not harm the public interest. Courts scrutinize medical non-competes more strictly because of the public's interest in access to healthcare.
